About WAI
These Terms govern access to and use of the websites, catalogues, RFQ/RFP materials, quotations, invoices, and products offered by World Art Initiative (“WAI”, “we”, “us”, “our”).
Definitions
• Client: A business or institution purchasing WAI products/services.
• Order: A confirmed purchase via PO, email acceptance, e-signature, or payment.
• Artwork(s): Prints, frames, panels, and related accessories supplied by WAI.
• Curation: Representative-assisted selection and specification of Artworks.
• Dispatch: Hand-off of finished goods to a carrier for delivery to Client’s site.
Scope & Eligibility (B2B)
WAI sells to businesses and institutions. By engaging WAI, the Client confirms it is authorized to contract and procure on behalf of its organization.
Ordering Process
Curate (with representative help) → Approve → Dispatch.
• Curation: WAI presents selections, sizes, finishes, and quantities.
• Approve: Client approves final visuals/spec sheets/BOQ via email or e-signature.
• Production starts only after approval and, where applicable, advance payment.
• Dispatch: WAI packs, labels, and ships to the Client’s designated site(s).
• Client handles on-site installation.
Pricing, Taxes & Payment
• Prices are in INR unless stated otherwise and inclusive of GST and freight.
• Quotes are typically valid for 30 days unless specified otherwise.
• Payment terms (advance %, milestones, credit days) appear on the quote/invoice.
• Late payments may attract interest and suspension of further work/dispatches.
Changes & Cancellations
• Because Artworks are made-to-order, cancellations/changes after approval may not be possible; if permitted, change fees apply (materials, labor, admin).
• Any approved design change resets timelines and may affect pricing.
Delivery, Risk & Title
• WAI arranges shipping unless the Client nominates a carrier.
• Risk passes on delivery to the Client’s ship-to address (or to the Client’s nominated carrier if Client arranges pickup).
• Title passes upon full and final payment. Client must ensure site readiness (receiving hours, access, storage conditions).
Inspection & Acceptance
• Inspect cartons and contents within 48 hours of delivery and report shortages/damage with photos and the AWB/consignment number.
• If no written notice is received within 48 hours, the shipment is deemed accepted.
IP & Usage Rights
• Unless a separate license is signed, WAI (or its licensors) retains all copyrights in Artwork images and designs.
• Client receives a limited, non-transferable right to display purchased Artworks at the specified site(s).
• No reproduction, derivative use, resale of images, or digital duplication is allowed without written permission.
Warranties & Disclaimers
• WAI warrants Artworks are new and produced to the approved specifications.
• Minor variations in color/texture can occur due to materials, lighting, or calibration; these are not defects.
• Except as expressly stated, Artworks are provided “as is” and WAI disclaims implied warranties to the fullest extent permitted by law.
Limitation of Liability
• To the maximum extent permitted by law, WAI’s aggregate liability for any claim relating to an Order is capped at the amount actually paid for the specific Artworks giving rise to the claim.
• No liability for loss of profits, business interruption, or indirect/consequential damages.
Indemnity
Client will indemnify WAI against third-party claims arising from (i) Client’s installation, misuse, or modification of Artworks, (ii) materials or content supplied by Client, and (iii) breach of these Terms.
Force Majeure
WAI isn’t liable for delays/failures caused by events beyond reasonable control (acts of God, epidemics, strikes, transport disruptions, regulatory actions, etc.). Timelines will be extended reasonably.
Vendor Onboarding & Compliance
WAI will provide KYC, GST, bank details, and statutory documents on request. Client agrees to reasonable anti-fraud/tax compliance checks.
Updates to Terms
We may update these Terms; the effective date will change accordingly.
